GENERAL TERMS AND CONDITIONS – MORE THAN A FACE BV
1. Company Information
More Than a Face BV, founded by Ms. Michèle Mottrie, with registered office at Negendagwand 15, 9300 Aalst, Belgium, VAT number BE0784 778 005 (hereinafter “the Agency”).
More Than a Face operates as a project agency (not an employment or temporary work agency) specialising in the selection, coordination and booking of talent for events, productions and promotional activities.
2. Scope & Role of the Agency
The Agency acts as an intermediary between clients and independent talent (including hosts, hostesses, models, stagehands, makeup artists and related profiles).
The Agency provides coordination, selection and booking services for which it charges a fee. All talent performs services as independent contractors.
Unless expressly agreed otherwise in writing, these terms apply to all agreements.
3. Applicability
These general terms and conditions apply to all quotations, bookings and agreements issued by the Agency.
Any deviation is only valid if expressly agreed in writing and signed by both parties, and applies solely to the specific agreement concerned.
4. Formation of Agreement
A booking is considered final upon written confirmation by the client (signed quotation or written email approval).
The Agency will make reasonable efforts to ensure the proper execution of each assignment.
5. Independence & Liability
All talent operates as independent contractors and is not employed by the Agency or the client.
The Agency cannot be held liable for any direct or indirect damages, loss of profit, errors, or omissions caused by talent or third parties.
In cases of force majeure (including but not limited to illness, accident, fire, strikes or material failure), the Agency shall not be liable but will make reasonable efforts to provide suitable replacement.
All claims against the Agency expire six (6) months after they become due.
6. Client Obligations
The client agrees to respect the assignment conditions as confirmed.
Failure to comply releases the Agency and talent from their obligations.
Confidential Agency information may not be shared with third parties without written consent.
The Agency reserves the right to use visual material created during assignments for marketing and promotional purposes, unless otherwise agreed.
7. Bookings & Cancellation Policy
Bookings must be cancelled at least 48 hours in advance.
Weekends and public holidays are not included in the calculation of cancellation deadlines.
Cancellations made within the required timeframe are free of charge, unless costs have already been incurred.
Cancellations within the applicable deadline will be charged at 50% of the agreed fee.
Weather-related cancellations apply only if explicitly agreed in advance.
8. Complaints
Complaints regarding talent must be reported at the start of the assignment (via email or phone, supported by evidence).
Complaints submitted after completion of the assignment are not valid.
Invoice disputes must be submitted in writing within seven (7) calendar days. After this period, invoices are deemed accepted.
9. Fees, Rates & Payment Terms
A 50% deposit is required at least 24 hours before the assignment.
Invoices are payable within 30 calendar days from invoice date.
Late payments automatically incur:
The Agency invoices the client on behalf of the talent.
10. Non-Circumvention / Direct Booking Prohibition
The client is strictly prohibited from directly contacting, booking or engaging any talent introduced or previously booked through the Agency, without the Agency’s involvement.
If the client breaches this clause, a fixed compensation of €5,000 per violation shall be due, without prejudice to additional damages.
This clause remains valid for 24 months after the last collaboration.
11. Talent Non-Circumvention Clause
Talent introduced or booked through the Agency is strictly prohibited from accepting direct assignments from clients introduced by the Agency without written consent. Or via third parties not allowed.
Any breach of this obligation will result in a contractual penalty of up to €5,000 per violation, depending on the severity and damages incurred.
12. Use of Image Material
The Agency may use visual material created during assignments for promotional and marketing purposes. Or via third parties not allowed.
The client may not distribute or share Agency materials without prior written approval.
13. Payment & Legal Jurisdiction
All invoices are payable at the registered office of the Agency in Belgium.
The place of execution is the registered office of the Agency.
This agreement is governed exclusively by Belgian law.
All disputes fall under the jurisdiction of the courts of Ghent, Belgium.
